  1. Scope of Application


(1) These General Terms and Conditions (GTC) apply to all offers, deliveries, and services provided by TIME/LESS Prints, Proprietor L. Mehlem (hereinafter "TIME/LESS Prints"), in particular in the field of textile finishing (screen printing, digital transfer printing, embroidery) and related services.

(2) These GTC apply to entrepreneurs within the meaning of § 14 BGB (German Civil Code) and consumers within the meaning of § 13 BGB, insofar as no distinction is made in the following provisions.

(3) Deviating, conflicting, or supplementary terms and conditions of the customer shall only become part of the contract if TIME/LESS Prints has expressly agreed to their validity in text form.


  1. Conclusion of Contract


(1) The presentation of services, products, or finishing options on websites, in configurators, catalogues, or other media does not constitute a binding offer, but an invitation to the customer to submit an enquiry or order.

(2) A contract is concluded by
a) the customer's acceptance of an individually created offer, or
b) the express order confirmation by TIME/LESS Prints.

(3) If acceptance is made via a digital approval function (e.g. an "Approve" button), this constitutes binding acceptance of the offer including all order details contained therein.

(4) If an order is placed via an online configurator or by other electronic means, it is subject to the subsequent review of technical and practical feasibility as well as the customer's final approval of the specific order details.

(5) Offers from TIME/LESS Prints are valid for 30 calendar days from receipt, unless otherwise stated. After this period, the binding nature of the offer expires automatically.


  1. Contract Content and Approval ("Mockup / Approved for Production")


(1) The type and scope of the service are determined exclusively by:
a) the approved offer,
b) the order details contained therein,
c) the mockups/visualisations shown.

(2) The mockup included in the offer constitutes a binding part of the contract.

(3) By giving approval, the customer confirms the accuracy of, in particular:
a) item, model, quantities, and sizes,
b) textile colours,
c) design and design size,
d) print/embroidery position,
e) print or thread colours.

(4) The customer bears the risk for the accuracy of the approved details. Claims arising from actual production defects or other deviations from the approved details remain unaffected.

(5) Complaints regarding characteristics that were apparent to the customer from the approved offer or mockup are excluded, provided that TIME/LESS Prints has carried out production in accordance with the approval.

(6) Changes after approval require express confirmation by TIME/LESS Prints. Any additional effort arising from such changes will be charged separately; agreed or non-binding delivery times will be extended accordingly.


  1. Customer's Obligations to Cooperate


(1) The customer must provide TIME/LESS Prints with all information, data, approvals, and materials required for production in a timely, complete, and suitable manner.

(2) The information and documents to be provided by the customer include in particular:
a) print files in suitable resolution, at least 300 dpi, or as a vector file,
b) desired print colours, ideally with Pantone Solid Coated colour codes,
c) desired design sizes,
d) size breakdown,
e) billing and delivery address,
f) all other information required for the execution of the order.

(3) Delays, additional costs, or quality deviations resulting from incomplete, incorrect, or late submissions of information, data, or approvals by the customer shall not be the responsibility of TIME/LESS Prints.


  1. Production Specifics and Tolerances


(1) Textile finishing takes place within the scope of artisanal and technical production processes. Minor, industry-standard, or technically unavoidable deviations do not constitute a defect, insofar as they do not significantly impair the agreed quality or fitness for purpose. The primary standard for the quality owed is the approved order data and the mockup.

(2) Positioning: Deviations of up to 1 cm from agreed positioning measurements are standard in production and do not constitute a defect.

(3) Colour deviations: If no clear colour specification is provided by the customer, in particular by specifying a Pantone Solid Coated colour value, the print colour will be determined based on the templates provided by the customer or at industry-standard discretion.

(4) Pantone specifications serve as a reference for colour selection. A complete match with a specified colour value cannot be guaranteed due to material, process, and production-related factors.

(5) Minor colour deviations within industry-standard tolerances do not constitute a defect. This applies in particular to deviations caused by:

  • different textile materials,

  • printing processes,

  • material batches,

  • physical and technical production conditions,

  • differing screen displays or customer templates.

(6) Embroidery thread colours: In the embroidery process, only the thread colours available from manufacturers can be used. An exact Pantone match cannot be guaranteed. Minor deviations within industry-standard tolerances do not constitute a defect.

(7) Over- or under-delivery: For production orders, deviations of up to ±10% of the ordered quantity are permissible, unless an exact quantity has been expressly agreed in text form. The invoice will reflect the quantity actually produced and delivered.


  1. Minimum Order Quantities


(1) The following minimum order quantities apply depending on the chosen finishing method:

Screen printing:

  • minimum 30 pieces per design;

  • for mixed textiles, minimum 10 pieces per item and colour.

Digital transfer printing:

  • minimum 10 pieces per design.

Embroidery:

  • minimum 12 pieces per design;

  • up to 8 thread colours are included in the price.

(2) If multiple finishing methods are combined, the higher minimum order quantity applies in each case.


  1. Customer-Supplied Goods


(1) Finishing on goods supplied by the customer is carried out at the customer's risk as a matter of principle.

(2) TIME/LESS Prints is not liable for damage, defective production, or rejects attributable to material defects, pre-treatments, prior damage, unsuitability for finishing, or other causes inherent in the nature of the customer-supplied goods, unless such circumstances were caused by TIME/LESS Prints intentionally or through gross negligence.

(3) TIME/LESS Prints is only obliged to conduct a special inspection of customer-supplied goods for hidden defects, pre-treatments, or suitability for finishing if this has been expressly agreed.


  1. Designs, Mockups, Embroidery Files, and Prepared Print Data


(1) All designs, graphics, mockups, embroidery files, vectorisations, reconstructions, and other prepared production data created by TIME/LESS Prints remain the intellectual property and under the control of TIME/LESS Prints, subject to any expressly granted rights of use.

(2) The customer receives only those rights of use in designs, mockups, embroidery files, vectorisations, reconstructions, and other prepared production data that are necessary for the execution of the specific order. Further rights of use are only granted if expressly agreed in text form.

(3) The use of designs and mockups to obtain competing offers, to pass on to third parties – in particular other print shops, embroidery businesses, or other production facilities – or for reproduction by third parties is not permitted without the prior consent of TIME/LESS Prints.

(4) Where TIME/LESS Prints charges a separate fee for the creation of embroidery files, vectorisations, reconstructions, or other production data requiring preparation, this fee relates exclusively to the creation and use within the scope of the specific order. There is no entitlement to the release of the underlying files or data formats unless otherwise expressly agreed in text form.

(5) In the event of unauthorised use or distribution, TIME/LESS Prints is entitled to claim damages in accordance with statutory provisions.


  1. Prices and Payment Terms


(1) The prices stated in the offer apply. For entrepreneurs, prices are understood as net prices plus applicable statutory VAT and plus packaging and shipping costs, unless expressly stated otherwise. For consumers, prices are shown as total prices including statutory VAT; any additional packaging and shipping costs will be stated separately where applicable.

(2) Payment is generally made in advance, unless otherwise expressly agreed.

(3) Where payment by invoice is exceptionally granted, the invoice amount is due within 30 days of the invoice date without deduction, unless a different agreement has been made.

(4) TIME/LESS Prints is entitled to charge additionally for any changes requested by the customer or any additional effort caused by the customer.

(5) The customer is only entitled to set-off or retention rights if their counterclaims have been legally established, are undisputed, or arise from the same contractual relationship.


  1. . Delivery and Shipping


(1) Shipping is carried out by a shipping service provider of TIME/LESS Prints' choice.

(2) TIME/LESS Prints is entitled to use different shipping service providers depending on economic and logistical considerations.

(3) Shipping costs are borne by the customer unless otherwise agreed.

(4) For entrepreneurs, the risk of accidental loss or deterioration of the goods passes to the customer upon handover to the shipping company.

(5) For consumers, the risk passes only upon delivery of the goods to the consumer.


  1. . Partial Deliveries


(1) Partial deliveries are permissible provided they are reasonable for the customer or have been agreed in advance.

(2) TIME/LESS Prints is entitled to invoice partial deliveries separately.

(3) Additional shipping costs resulting from partial deliveries will only be charged if this has been agreed in advance on a case-by-case basis.


  1. . Delivery Times


(1) Delivery times commence only after
a) full approval of the order,
b) receipt of all required print files,
c) full clarification of all order details,
d) receipt of payment, where advance payment has been agreed.

(2) Typical production times are
a) approx. 14 working days for printing,
b) approx. 2 to 3 weeks for embroidery.
These figures are non-binding estimates unless a binding deadline has been expressly confirmed in text form.

(3) Delivery dates are only binding if expressly confirmed in text form.

(4) A "due date" automatically displayed in order software or quotation platforms does not constitute a binding delivery date unless TIME/LESS Prints has expressly confirmed it as binding.

(5) Delivery and performance deadlines are extended appropriately in the event of force majeure or other circumstances beyond the control of TIME/LESS Prints, in particular in the event of operational disruptions, material shortages, delays from suppliers, or transport disruptions.


  1. . Warranty


(1) The customer is requested to inspect the delivered goods upon receipt. For entrepreneurs, paragraph 2 applies additionally.

(2) For entrepreneurs, obvious defects must be reported in text form without delay, and at the latest within 7 calendar days of delivery. Hidden defects must be reported in text form without delay upon discovery. If notification is not given in time, warranty claims are excluded to the extent permitted by law.

(3) For consumers, the statutory warranty rights apply.

(4) In particular, no defect exists in the case of
a) industry-standard or technically unavoidable production deviations,
b) deviations due to missing, unclear, or incorrect customer specifications,
c) characteristics of the chosen textile or material, insofar as these do not deviate from an expressly agreed specification,
d) characteristics approved and apparent from the offer or mockup.

(5) In the case of justified defects, rectification for entrepreneurs will be carried out at the discretion of TIME/LESS Prints by repair or replacement delivery, insofar as this is reasonable. For consumers, the statutory warranty rights apply.


  1. . Liability


(1) TIME/LESS Prints is liable without limitation
a) in cases of intent and gross negligence,
b) for culpable injury to life, body, or health,
c) under the provisions of the Product Liability Act,
d) where a guarantee has exceptionally been assumed.

(2) In the event of slightly negligent breach of material contractual obligations, liability is limited to the typical, foreseeable damage. Material contractual obligations are those whose fulfilment makes proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely.

(3) Any further liability for slight negligence is excluded.

(4) The above limitations of liability do not apply insofar as TIME/LESS Prints has fraudulently concealed a defect.

(5) Insofar as the liability of TIME/LESS Prints is excluded or limited, this also applies in favour of its legal representatives, employees, and vicarious agents.


  1. . Customer's Rights in Content and Indemnification


(1) The customer guarantees that they hold all rights necessary for the use, reproduction, processing, and finishing of all submitted designs, logos, files, and other content.

(2) The customer indemnifies TIME/LESS Prints against all third-party claims arising from the contractual use of such content, unless the customer is not responsible for the infringement.


  1. . Reference Use


(1) TIME/LESS Prints is entitled to photograph finished products for reference purposes and to use them for its own promotional purposes, in particular on its website, in social media, and in printed materials. Reference images are generally taken without depicting persons.

(2) Where brands, logos, or other identifiers of the customer or third parties are visible on the finished products, use is limited to standard reference presentations and with due regard for the customer's legitimate interests.

(3) The customer may object to reference use on legitimate grounds in text form. In the event of a legitimate objection, future use will be discontinued.


  1. . Right of Withdrawal for Consumers


(1) Consumers generally have a statutory right of withdrawal, unless this is excluded by law.

(2) A right of withdrawal does not exist in particular for contracts for the supply of goods that are not prefabricated and for whose production an individual selection or specification by the consumer is decisive, or that are clearly tailored to the personal needs of the consumer.

(3) Since the products manufactured by TIME/LESS Prints are regularly produced individually according to customer specifications, there is generally no right of withdrawal in such cases. The consumer will be informed separately of any exclusion prior to conclusion of the contract. The statutory information obligations for distance selling contracts with consumers otherwise apply.


  1. . Final Provisions


(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country of their habitual residence.

(2) If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from the contractual relationship is Hannover, provided no exclusive statutory place of jurisdiction exists.

(3) Should individual provisions of these GTC be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the applicable statutory regulation.
